Winding up your group |

My group is winding up. What do we need to do?
Firstly, please talk to your local regional committee or Training & Development Officer, who may be able to give practical pastoral advice which may help you avoid winding up.
If winding up is inevitable, please note that the procedures differ for Unincorporated associations (i.e. those where the committee officers are individuals acting together, but apart from this the group has no separate formal legal existence) and Incorporated Organisations (i.e. those where the group has separate legal existence in its own right, independently of who are its members).
Unincorporated associations
The basic rules should be outlined in the constitution (see Information Sheet 12): if it is decided to put to a vote that a group be wound up, then this should be done at an Annual General Meeting(AGM) or an Extraordinary General Meeting (EGM) called with 21 days notice. If necessary advice from the Charities Commission or proper legal advice should be sought. It is probably good practice for the group to discuss this with the Charities Commission first in any case.
The procedures involve the following:
- Preparation of a final set of accounts, to be submitted for approval at the meeting;
- The committee should identify any creditors and others who should be informed, eg the rehearsal venue, accompanist etc., owners of leased equipment;
- At the meeting, if the resolution is accepted and the accounts are approved, it should be agreed how to dispose of any remaining assets: these must only go to another charity, ideally one with similar objectives. If the group is solvent there are no formal legal procedures;
- Any remaining creditors should be paid, however if the association is insolvent, legal advice should be sought. Although technically the committee officers could be held liable, it is unlikely they will in practice provided they have run the group with due care and diligence, and have not acted criminally;
- The bank account must be closed, and headed notepaper destroyed;
- The Charities Commissioners and Making Music should be informed.
Incorporated Organisations
These are often companies limited by guarantee: i.e. on dissolution because of insolvency the members may be liable to pay a small sum limited to an amount which is quite small (e.g. £1 per member, as in the case of Making Music itself).
As ever proper legal advice should be sought, and the outline given here are is to give an idea only and should not be given without a disclaimer. Advice must be sought from the Charities Commission and Companies House. We advise such groups to seek such advice and proper legal advice when setting up and adopting a constitution, and our model constitution is not suitable, so this should not be taken as guidance.
In the case of voluntary liquidation (where the members decide to wind up although the group is solvent), the procedure involves the following:
- The appointment of an accountant who will send a Declaration of Insolvency to Companies House, stating that the group wishes to wind up and stating that debts can be cleared within one year;
- (Once the above has been done), the appointment of a liquidator qualified under insolvency law to distribute the assets in accordance with law (certain creditors get priority): anything remaining after the payment of debts must go to a charity. Once appointed the committee and other members have no power in the group;
- The collection of members' liabilities;
- The liquidator will call an AGM of members to report on liquidation;
- Send a copy of final accounts to the Charities Commission;
- The group will be struck off the register of companies about three months after the liquidation.
If the group is insolvent, it should call a meeting of its creditors to explain the financial situation: the creditors will then in effect own any assets and must decide how they should be distributed, but this must be done in accordance with the law, and a liquidator qualified under insolvency law must be appointed. Otherwise the procedures are as described. Alternatively, the group may petition the courts to appoint the Official Receiver to decide if the organisation can be wound up: the group will have to prepare a statement of affairs.
